Ohio Valley Officials Association – Basketball

Minutes of the Board

November 9, 2005

Members Present: Tim Baumgardner, Jon Sagers, Ray Vaughn, Bill Smith, Mick Sharkey, Terry Roy, Andy Larkins, Clint Bard, Tom Delisio, Tom Huiet, Virgil Knapke, Jim Manning and David Shire, Don Schneider.

Members Absent: Whit Hickman and Tom Driggers.

  • The Board moved to accept and certify the results of the association election.
    • The following individuals were to office.
      • Vice President             Kevin Larsen
      • Member at Large         Don Schneider
      • Member at Large         Marvin Doyle
      • Member at Large         Gip Fehring
      • Member at Large         Bob Kruthaupt
    • The Dan Tehan award winner was Ray Vaughn
    • All three of the proposed constitutional changes passed.  The proposals are listed below:

Proposal 1

Article IV: Officers

Add Section C to read:

The office of Vice President will be elected each year.  The elected Vice President will serve a term of one year as Vice President and ascend to the office of President for a term of one year and then serve on the Board in a non-voting advisory capacity as “Past President” for a term of one year.

Purpose of change – Currently the office of Vice President has very little responsibility.  This change would allow the Vice President to learn the ropes of the Board before taking the office as President.  The Board feels that this would not only give meaning to the office of Vice President but also provide the association with a more informed President.  The Board requests your support in this change.

Proposal 2

Article IV: Officers

Section A current states:

Change Section A to read:

Members serving the office of President\Vice President and Members-at-Large are limited to one two year term and must vacate this office and not run for any position on the Advisory Board for a period of not less than one full term or two years.  Exception: Any board member-at- large, current or past may advance to the position of Vice President without the two-year waiting period.

Purpose of change – Allowing a current or past Board member to ascend to the office of Vice President will provide the association with potential candidates who are informed and ready to assume a leadership roll in the association.  Current and past history has shown that there are very few members willing to take the office of president and mainly because they are not sure what they are getting into.  This change will potentially allow one Board member to hold office for a maximum period of four years.  The Board is of the opinion that this change is not reverting back to the old ways of allowing the same people run the association year after year.  Please support the Board in this change.

Proposal 3

Editorial changes:  The following changes are being made to update our constitution to the way the association is currently operating.  These changes are not material in nature and are only being made to correct the terminology of the constitution.

Article III: Membership – Add Class 4 to the list of groups in the general membership.  (This will now correspond with the listing in the State handbook)

Article IV: Officers – Remove Sergeant-at-Arms from the list of officers and replace it with Program Director.  (The Sergeant-at-Arms position has become obsolete because of changes in the way the association reports attendance.  The Board has added a Program Director position to set up and facilitate the rules meetings)

Article IV: Officers – Section B Add “The position of Program Director shall be appointed for a term of one year by a majority vote of the Advisory Board.”  (Identify the term of Program Director)

Article VI: Advisory Board – Section B Remove Sergeant-at-Arms and add Program director.  (Identify members of the advisory board)

  • Moved to give Jim Reynolds a $50 gift certificate as a token of our association’s gratitude for his time to appear before the association and speak.
